Terms of Service

These Terms of Service (“Terms”) govern access to and use of SOW Desk websites, digital products, and early-access software (collectively, the “Services”) operated by Duke Publishing LLC (“SOW Desk,” “we,” “us”). By using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. Who we are
Legal entity: Duke Publishing LLC. Contact: hello@sowdesk.com. Domain target for the brand: sowdesk.com (registration and live checkout are separate operational steps).
2. Products
- Proposal & SOW System — one-time digital kit (listed at $197 USD unless otherwise stated at checkout).
- SOW Desk App — Early Access — subscription access (listed at $49 USD/month unless otherwise stated at checkout). Features, limits, and pricing may change during early access.
Offers are separate. Buying one does not automatically include the other.
3. Accounts and self-serve access
Services are intended to be self-serve. You are responsible for the accuracy of information you provide and for keeping any access credentials confidential. Support is available at hello@sowdesk.com.
4. Your content and ownership
You retain ownership of the proposals, statements of work, emails, and other materials you create for your clients using the kit or app (“Your Documents”). You grant us a limited license to process inputs you submit solely to operate the Services (for example, rendering a preview in the browser). The local early-access app MVP stores drafts in your browser unless you choose otherwise; we do not claim ownership of Your Documents.
5. License to SOW Desk materials
Subject to these Terms and payment of applicable fees, we grant you a non-exclusive, non-transferable license to use kit templates and app output for your own client work. You may not resell, redistribute, or republish the kit files or app software as a competing product.
6. No guarantees; drafting tool only
SOW Desk does not guarantee that proposals will be accepted, deals will close, or revenue will increase.
Outputs are drafts based on the inputs you provide. You remain responsible for accuracy, pricing, legal terms, and what you send clients. SOW Desk is a drafting tool, not a sales coach or substitute for your professional judgment.
7. Not legal advice
Templates and generated text are not a substitute for attorney review. Engage counsel when your engagement requires it. We do not provide legal, tax, or regulated compliance advice.
8. Early access
App early access means the product is still shipping. Features, limits, and pricing may change as the product develops. You should expect iteration, not a finished enterprise suite (e.g., e-signature, full CLM, or CRM automation may be absent).
9. Payments, renewals, and cancellation
Prices are shown at checkout. The $197 kit is a one-time purchase when offered. The $49/mo early access renews monthly until canceled per the Terms and the checkout provider’s flow. Cancel anytime; you retain access through the paid period unless otherwise stated at checkout. Billing details appear at checkout and on your receipt.
Refunds. For the $197 kit: if you request a refund within 14 days of purchase and you have not downloaded the kit files, we will refund the purchase price. After download, kit purchases are generally non-refundable except where required by law. For the $49/mo early access subscription: if you cancel before the first renewal and have not activated paid app access, you may request a refund of the initial period within 14 days of purchase; otherwise cancel anytime and retain access through the end of the paid period with no prorated refund unless required by law. 10. Acceptable use
- Do not misuse the Services to spam, defraud, or misrepresent your identity to clients.
- Do not attempt to disrupt, scrape abusively, or reverse engineer the Services beyond permitted law.
- Do not upload unlawful content or content you do not have rights to use.
11. Disclaimer of warranties
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, Duke Publishing LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, Duke Publishing LLC WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS, ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM.
13. Indemnity
You agree to indemnify and hold harmless Duke Publishing LLC from claims arising out of Your Documents, your client relationships, or your misuse of the Services.
14. Changes
We may update these Terms. Material changes will be posted on this page with an updated date. Continued use after changes constitutes acceptance where permitted by law.
